Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "Client") and The Coding Nurse, LLC, a Delaware limited liability company ("we," "us," "our," or "Company"), governing your access to and use of the website located at https://thecodingnurse.com (the "Site") and any courses, coaching, consulting, auditing, resume, interview-preparation, or other services or materials we provide (collectively, the "Services").
Please read these Terms carefully. By accessing the Site, purchasing or enrolling in any Service, or otherwise engaging with us, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Site or Services.
Important: These Terms include a binding arbitration clause and class-action waiver in Section 15 that affect your legal rights. Please review Section 15 carefully. You have a 30-day right to opt out of arbitration as described in that Section.
1. Eligibility
You must be at least 18 years of age and capable of entering into a legally binding contract to purchase or enroll in any Service. By using the Services, you represent and warrant that you meet these requirements. If you are using the Services on behalf of an organization (such as a medical practice or employer), you represent that you have authority to bind that organization to these Terms.
2. Description of Services
The Coding Nurse, LLC offers the following Services:
Live medical coding instruction in ICD-10-CM, ICD-10-PCS, and CPT/HCPCS coding systems for nurses and aspiring health information management (HIM) professionals;
Career services, including resume review, resume writing, and interview preparation, for nurses and HIM professionals;
Auditing and consulting services for physician and provider practices, including coding audits, documentation reviews, and related advisory services; and
Free educational content, including blog posts, newsletters, and other resources made available through the Site.
Specific terms applicable to each Service (such as schedules, deliverables, prerequisites, and pricing) will be set forth at the point of purchase, in a separate course description, or in a written engagement letter or statement of work, as applicable.
3. Educational Purpose & No Professional Advice
Read this section carefully. The Services are educational and informational in nature. They are not a substitute for professional certification, professional judgment, legal advice, medical advice, billing or compliance advice, or the services of a licensed professional.
3.1 Educational Content Only
All courses, instructional materials, and educational content are provided for general educational and informational purposes. Completion of any course, program, or material does not:
confer any professional certification, credential, license, or designation;
guarantee that you will pass any third-party certification examination (including those administered by AHIMA, AAPC, or any other certifying body);
guarantee employment, job placement, salary level, promotion, or any other career outcome; or
create any teacher-student fiduciary relationship or any professional, attorney-client, or healthcare provider-patient relationship between you and us.
3.2 Not Medical, Legal, Billing, or Compliance Advice
Information provided through the Services regarding medical coding, clinical documentation, billing rules, payer policies, or healthcare compliance reflects general principles and our understanding of applicable guidelines as of the date the content is created. Coding rules, payer policies, and regulatory guidance change frequently. You are solely responsible for verifying current rules and applying them to your specific circumstances. Nothing on the Site or in any Service constitutes medical advice, legal advice, billing advice, compliance advice, or coding determinations for any specific patient encounter, claim, or provider.
3.3 Your Professional Responsibility
If you are a coder, biller, nurse, HIM professional, or other healthcare worker, you remain solely responsible for your own coding, billing, and clinical decisions, including compliance with all applicable laws, regulations, payer requirements, and your employer's policies. You agree that you will not rely on the Services as the sole basis for any coding, billing, clinical, or compliance decision.
3.4 Resume & Interview Services
Resume, resume-writing, and interview-preparation services are advisory in nature. We do not guarantee interviews, job offers, employment, salary outcomes, or any specific career result. Hiring decisions are made by employers based on factors outside our control.
4. Consulting, Auditing & Resume Services
4.1 Engagement Letters Govern
Auditing, consulting, and other services provided to physician practices, providers, healthcare organizations, or other business clients are governed by a separate written engagement letter, statement of work, or services agreement signed by both parties (an "Engagement Letter"). In the event of any conflict between these Terms and an Engagement Letter, the Engagement Letter controls with respect to the engagement it covers.
4.2 Scope of Consulting
Consulting and auditing deliverables, including coding audit findings and recommendations, are advisory only and based on the records, information, and documentation provided to us by the Client. We do not independently verify the accuracy or completeness of Client-provided information, and we are not responsible for errors or omissions arising from incomplete or inaccurate Client information.
4.3 Client Responsibility for Billing & Compliance Decisions
The Client retains sole responsibility for all coding, billing, claim submission, reimbursement, regulatory compliance, and clinical decisions made by the Client or its personnel. Our recommendations are advisory; the Client is responsible for evaluating, accepting, modifying, or rejecting any recommendation and for the consequences of any decisions made. We are not a billing company, are not a "covered entity" or "business associate" except as expressly agreed in a separate Business Associate Agreement, and do not submit claims on behalf of any Client.
4.4 Confidentiality & PHI
If an engagement involves access to protected health information ("PHI") as defined under HIPAA, the parties will execute a separate Business Associate Agreement before any PHI is disclosed. The Client is responsible for de-identifying any data shared with us prior to execution of a Business Associate Agreement.
5. Enrollment, Pricing & Payment
5.1 Pricing
Prices for Services are listed on the Site or quoted in an Engagement Letter. All prices are stated in U.S. dollars unless otherwise noted. We may change prices at any time, but changes will not affect Services already purchased.
5.2 Payment
Payment for Services is due at the time of enrollment or as otherwise stated in your purchase or Engagement Letter. We process payments through third-party payment processors (currently Stripe and PayPal). By submitting a payment, you authorize us and our payment processors to charge your selected payment method for the full amount due, including any applicable taxes.
5.3 Failed Payments & Chargebacks
If a payment fails, is reversed, or is charged back, we may suspend or terminate your access to the Services until payment is resolved. Initiating a chargeback for a charge you authorized, without first contacting us to attempt to resolve the issue, is a breach of these Terms.
5.4 Taxes
You are responsible for any sales, use, or similar taxes applicable to your purchase, except for taxes based on our net income.
6. Refund Policy
6.1 Live Courses
You may request a full refund for a live course or program by emailing info@thecodingnurse.com within seven (7) days of your purchase, provided that the first scheduled live session has not yet occurred. Once the first live session has taken place, the purchase is non-refundable, regardless of whether you attended.
6.2 Coaching, Resume & Interview-Prep Services
You may request a full refund for one-on-one coaching, resume, or interview-preparation services by emailing us within seven (7) days of your purchase, provided that no session has been delivered and no resume draft or written deliverable has been provided. Once any session, draft, or deliverable has been provided, the purchase is non-refundable.
6.3 Consulting & Auditing
Refunds and cancellation rights for consulting and auditing engagements are governed by the applicable Engagement Letter and not by this Section.
6.4 How to Request a Refund
To request an eligible refund, email info@thecodingnurse.com with your order details. Approved refunds will be issued to the original payment method within fourteen (14) business days of approval.
6.5 Exceptions
We may, in our sole discretion, grant refunds outside the windows above in cases of documented medical emergencies or other extenuating circumstances. Any such refund is a courtesy and does not waive the policy above for any future purchase.
7. Course Access & Participant Conduct
7.1 Account & Access
Course access is granted to the individual purchaser only. You may not share your login credentials, course recordings, materials, or live-session access links with any other person. Unauthorized sharing is grounds for immediate termination of access without refund.
7.2 Recording
Live sessions may be recorded by us for instructional and quality purposes. By participating, you consent to being recorded. You may not record, screen-capture, or redistribute any live session, recording, or course material without our prior written consent.
7.3 Conduct
You agree to participate respectfully and professionally. We may, in our sole discretion, remove or suspend any participant who is disruptive, abusive, harassing, or otherwise violates these Terms, without refund.
8. Intellectual Property
8.1 Our Content
All content provided through the Services, including course materials, slides, handouts, recordings, articles, videos, audits, reports, templates, and the design and code of the Site (collectively, "Our Content"), is owned by The Coding Nurse, LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws.
8.2 Limited License to You
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use Our Content solely for your own personal, non-commercial educational use (or, for consulting clients, for the internal business purposes set out in the Engagement Letter). All other rights are reserved.
8.3 Restrictions
You may not, and may not permit any third party to: (a) copy, reproduce, distribute, publish, display, perform, modify, translate, or create derivative works of Our Content; (b) sell, rent, lease, sublicense, or otherwise commercially exploit Our Content; (c) use Our Content to train any artificial intelligence, machine-learning, or similar model; (d) remove or alter any copyright, trademark, or proprietary notice; or (e) reverse engineer or attempt to extract the source code of any Site feature.
8.4 Trademarks
"The Coding Nurse" and our logos are trademarks of The Coding Nurse, LLC. You may not use them without our prior written permission.
9. User Content & Feedback
9.1 Your Submissions
If you submit any content to us — including questions, comments, testimonials, resumes (for review), or other materials ("User Content") — you represent that you have the right to submit it and that it does not violate any third party's rights or any law.
9.2 License to Us
You grant us a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to use, reproduce, modify, and display your User Content as reasonably necessary to provide the Services to you. For testimonials, reviews, or feedback you voluntarily provide, you additionally grant us the right to use such content in our marketing materials, with attribution by first name and last initial unless you request otherwise.
9.3 Feedback
If you provide suggestions, ideas, or feedback regarding the Services, we may use them without restriction or compensation to you.
10. Prohibited Conduct
You agree not to:
use the Services for any unlawful, fraudulent, or harmful purpose;
misrepresent your identity, credentials, or affiliation;
access the Services through automated means (bots, scrapers, etc.) without our written permission;
introduce viruses, malware, or other harmful code;
attempt to gain unauthorized access to any portion of the Services;
harass, threaten, or discriminate against any other user, instructor, or staff member;
resell, repurpose, or redistribute Our Content; or
use the Services to develop, train, or improve any competing product, course, or AI/ML model.
11. Third-Party Services & Links
The Services may rely on or link to third-party platforms (such as Stripe, PayPal, Brevo, Squarespace, video conferencing providers, or external websites). We are not responsible for the availability, content, or practices of third parties. Your use of any third-party service is subject to that third party's terms.
12. Disclaimers
The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by law, we disclaim all warranties, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and quiet enjoyment.
We do not warrant that the Services will be uninterrupted, error-free, or secure; that any defects will be corrected; that the content is accurate, complete, or current; or that the Services will result in any specific certification, employment, financial, billing, or compliance outcome.
13. Limitation of Liability
To the maximum extent permitted by law, in no event will The Coding Nurse, LLC, its members, employees, contractors, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, loss of goodwill, or business interruption, arising out of or relating to these Terms or the Services, whether based in contract, tort (including negligence), strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.
Our total aggregate liability arising out of or relating to these Terms or the Services will not exceed the greater of (a) the amount you actually paid to us for the specific Service giving rise to the claim during the twelve (12) months preceding the event giving rise to liability, or (b) one hundred U.S. dollars ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so portions of this Section may not apply to you. Nothing in these Terms limits liability that cannot be limited by law (such as liability for gross negligence, willful misconduct, or fraud).
14. Indemnification
You agree to defend, indemnify, and hold harmless The Coding Nurse, LLC and its members, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any law or third-party right; (d) any coding, billing, clinical, or compliance decision you (or, for organizational Clients, your personnel) make; or (e) your User Content.
15. Dispute Resolution & Arbitration
Please read this Section carefully — it affects your legal rights, including your right to file a lawsuit in court and to participate in a class action.
15.1 Informal Resolution
Before initiating any formal proceeding, you and we agree to first attempt to resolve any dispute informally by contacting info@thecodingnurse.com with a written description of the dispute and the relief sought. The parties will attempt in good faith to resolve the dispute within sixty (60) days of receipt of the notice.
15.2 Binding Arbitration
If the dispute is not resolved informally, you and we agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services (a "Dispute") will be resolved exclusively by final and binding individual arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules and, where applicable, its Consumer Arbitration Rules. The arbitration will be conducted by a single arbitrator. The seat of arbitration will be Wilmington, Delaware, although you may elect to participate by telephone or videoconference, or in your home jurisdiction if AAA rules permit. The arbitrator's decision will be final and may be entered as a judgment in any court of competent jurisdiction.
15.3 Class-Action Waiver
You and we agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
15.4 Exceptions
This arbitration agreement does not apply to: (a) small-claims-court actions brought on an individual basis; (b) claims for injunctive or equitable relief to protect intellectual property rights; or (c) any claim that, as a matter of law, cannot be subject to arbitration.
15.5 Right to Opt Out
You have the right to opt out of this arbitration agreement and the class-action waiver by sending written notice of your decision to opt out to info@thecodingnurse.com within thirty (30) days of first accepting these Terms. Your notice must include your full name, email address, and a clear statement that you wish to opt out of arbitration. Opting out will not affect any other provision of these Terms.
15.6 Severability of Arbitration Provisions
If the class-action waiver is found unenforceable in any proceeding, the entirety of this Section 15 (other than this sentence) will be null and void as to that proceeding, and the parties will proceed in court — but the rest of these Terms will remain in effect.
16. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-laws principles. Subject to Section 15 (Arbitration), any judicial action permitted under these Terms must be brought exclusively in the state or federal courts located in New Castle County, Delaware, and you consent to the personal jurisdiction of those courts.
17. Termination
We may suspend or terminate your access to the Services at any time, with or without cause and with or without notice, including for violation of these Terms. Upon termination, your right to use the Services ceases immediately, and Sections 8 (Intellectual Property), 9 (User Content), 12 (Disclaimers), 13 (Limitation of Liability), 14 (Indemnification), 15 (Dispute Resolution), 16 (Governing Law), and 19 (Miscellaneous) will survive.
18. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Last Updated" date above. If we make material changes, we will provide additional notice (such as by email or a prominent notice on the Site). Your continued use of the Services after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services.
19. Miscellaneous
Entire Agreement. These Terms, together with our Privacy Policy and any applicable Engagement Letter or course-specific terms, constitute the entire agreement between you and us regarding the Services and supersede any prior agreements on the same subject.
Severability. If any provision is found unenforceable, the remaining provisions will remain in full force and effect.
No Waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
Force Majeure. We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, illness, internet outages, or actions of third-party providers.
Notices. Notices to us must be sent to the address in Section 20. Notices to you may be sent to the email address you provided.
Independent Contractor. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and us.
