Six structures, one decision.
Liability, taxes, and paperwork are the three levers. Every structure below trades them differently.
Sole proprietorship
One owner and the simplest thing to create. About 73% of all U.S. businesses. No separation between you and the business, so you carry the liability personally.
LLC
One owner or many. Reduces the owners' personal liability, offers flexible tax treatment, and is formed at the state level.
Corporation
S-Corp runs 1 to 100 owners, C-Corp has shareholders. The strongest liability separation and the most formal record keeping.
Partnership
Two or more owners, with one person serving as general partner and assuming the most responsibility. Profits and losses are shared. Put the agreement in writing.
LLP
All partners have limited liability and income is reported on individual returns. Common among licensed professionals, though availability varies by state.
Non-profit
Mission over profit, funded by donations, grants, and fundraising. Requires a board and formal governance, and tax-exempt status is applied for, not automatic.
